By accessing, browsing, registering for an account, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use ("Terms"). If you do not agree with all of these Terms, then you are expressly prohibited from using the Platform and must discontinue use immediately.
We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the "Effective Date" of these Terms and, for material changes, by posting a notice on the Platform or sending you an email. Your continued use of the Platform after the effective date of the revised Terms will constitute your acceptance of the changes.
a. Account Creation: You must be at least 13 years of age to create an account on Gatherknow. If you are between 13 and 18, you must have your parent or guardian’s permission to use the Platform. By using the Platform, you represent and warrant that you meet these age requirements.
b. Accurate Information: You agree to provide current, complete, and accurate registration information, including your legal name and a valid email address, and to promptly update such information as necessary.
c. Security: You are responsible for safeguarding your account password and for any activities or actions under your password. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
a. User Content: The Platform allows you to post, link, store, share, and otherwise make available information, text, graphics, videos, or other material ("User Content"). You retain all ownership rights in your User Content.
b. Content Responsibility: You are solely responsible for all User Content that you post or transmit. You represent and warrant that you own the intellectual property rights in your User Content or have the necessary rights to use it, and your User Content does not infringe upon the proprietary rights of any third party.
c. License Grant: By posting User Content on the Platform, you grant us a worldwide, non-exclusive, royalty-free, perpetual, transferable, and sublicensable license to host, use, reproduce, modify, translate, publish, publicly perform, publicly display, distribute, and otherwise disclose the User Content for the purpose of operating, developing, providing, and promoting the Platform and services.
d. Storage Limits: We may impose limits on the storage of User Content, such as a maximum file size of 50 MB per upload and a total storage limit of 10 GB per account.
e. Removal of Content: We reserve the right, but not the obligation, to monitor, review, or remove User Content at our sole discretion if we deem it to violate these Terms, without prior notice.
Violate Laws: Post content that is illegal, fraudulent, or violates any applicable local, state, national, or international law.
Hate Speech/Harassment: Engage in hate speech, harassment, bullying, threats, or discrimination against any individual or group.
Impersonation: Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
Spam/Malware: Transmit unsolicited commercial messages, chain letters, or upload files that contain viruses, ransomware, or any other destructive programs.
Nudity/Explicit Content: Post sexually explicit content, including non-consensual sexual images or videos.
Data Mining: Systematically retrieve data or other content from the Platform to create a compilation, database, or directory without express prior written permission from us.
a. Our Property: The Platform, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics, are owned or controlled by us and are protected by applicable copyright, trademark, and other intellectual property laws.
b. No Grant of Rights: Except as expressly provided in these Terms, no part of the Platform and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.
The Platform may contain links to other websites ("Third-Party Websites") and third-party content. We are not responsible for the content, privacy policies, or practices of any Third-Party Websites. Your use of such links is at your own risk.
These Terms shall remain in full force and effect while you use the Platform. We reserve the right to immediately suspend or terminate your account and your access to the Platform for any reason, including without limitation, for breach of these Terms, excessive violation of content policies, or extended inactivity (e.g., 180 days of no login activity).
a. Disclaimers: The Platform is provided on an "as-is" and "as-available" basis. We disclaim all warranties, express or implied, in connection with the Platform and your use thereof. We make no warranties about the accuracy or completeness of the Platform’s content or the functionality of the service.
b. Limitation of Liability: In no event will we or our directors, employees, or agents be liable to you for any indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, or loss of data, arising from your use of the Platform. Our maximum aggregate liability to you shall in no case exceed $100.00 USD or the amount you have paid to us in the six (6) months prior to the claim, whichever is greater.
You agree to defend, indemnify, and hold us harmless, including our officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of: (1) your User Content; (2) your use of the Platform; (3) your breach of these Terms; or (4) your violation of the rights of a third party, including intellectual property rights.
These Terms and your use of the Platform are governed by and construed in accordance with the laws of [the State of New York]. Any legal action or proceeding related to the Platform shall be brought exclusively in the courts located in [New York, New York].
